NFT Limited, a Cayman Islands holding company, priced a public offering under a prospectus supplement filed with the SEC dated October 6, 2026, consisting of 150,000 units priced at $1.35 each, with each unit comprising one Class A share and one warrant, alongside 1,740,000 pre-funded units priced at $1.31 each.

The company said the offering is expected to generate approximately $2.48 million in gross proceeds, with net proceeds of roughly $2.12 million after a 6% placement agent fee of $148,914 and other offering expenses. The filing disclosed that NFT Limited had 805,086 shares outstanding prior to the offering, a figure that could rise to approximately 4,585,086 shares if all units and warrants from the offering are fully exercised.

NFT Limited operates an online platform allowing artists, art dealers and investors to offer and trade ownership interests in valuable artwork represented as non-fungible tokens, alongside NFT consulting services and early-stage exploration of gaming and AI and robotics initiatives. The company maintains operations spanning New York, Wyoming and Hong Kong, reflecting both its US securities listing and its roots in markets with significant blockchain and digital asset activity.

The filing flagged regulatory considerations tied to the company’s Hong Kong operations, noting ongoing scrutiny from mainland Chinese authorities over blockchain and digital asset activity that could affect companies with a presence in the region. That disclosure is a standard risk factor for US-listed companies with Hong Kong-based operations navigating an evolving regulatory landscape for digital assets in Greater China, and the company said it continues to monitor developments in both Hong Kong and mainland policy as it plans future platform expansion.

The relatively small size of the raise, compared with larger crypto-adjacent offerings this year, reflects NFT Limited’s position as a niche player focused specifically on art-based NFTs rather than broader token trading or treasury strategies. The capital raised is expected to support the company’s continued platform development as it works to grow activity on its NFT art marketplace amid a broader market that has cooled somewhat from the speculative NFT boom of 2021 and 2022, even as the company also explores early-stage gaming and AI and robotics initiatives alongside its core art-trading business.
