Morgan Stanley Finance LLC, guaranteed by parent company Morgan Stanley, filed a 424B2 prospectus with the Securities and Exchange Commission on October 5, 2026 for a new series of Contingent Income Auto-Callable Notes tied to the performance of a spot bitcoin exchange-traded fund.

The notes are structured to pay periodic contingent interest to investors so long as the underlying bitcoin ETF closes at or above a specified barrier level on each scheduled observation date, and they can be automatically called, meaning redeemed early, if the fund’s price is at or above its initial level on an earlier observation date. If never called and the fund stays above the barrier through maturity, investors receive their principal back along with any final contingent coupon; if the fund falls below the barrier and stays there through maturity, investors face downside exposure similar to holding the underlying asset directly.

The filing carries extensive risk disclosures typical of structured notes tied to volatile underlying assets, warning that bitcoin has historically exhibited significant price swings and that investors could lose a substantial portion or all of their principal if the reference ETF falls far enough below the barrier and does not recover by maturity. Unlike buying bitcoin or a spot ETF directly, the notes do not pay interest unless the contingent coupon conditions are met, and investors give up any upside beyond the stated coupon in exchange for the defined income structure.

Morgan Stanley is one of several major banks, alongside JPMorgan, Citigroup, Barclays, and Royal Bank of Canada, that have steadily expanded their menus of bitcoin- and ether-linked structured notes over the past year as wealth management clients seek ways to gain crypto exposure through familiar fixed-income-style wrappers. These products typically appeal to investors who want some participation in crypto price movements but prefer a defined risk profile and periodic income over the unlimited upside and full downside exposure of holding the underlying asset outright.

The continued rollout of bitcoin-linked structured notes from major banks reflects how deeply integrated crypto-linked products have become within traditional wealth management channels since the approval of US spot bitcoin ETFs gave banks a regulated underlying asset to reference. Each new filing adds to a growing menu of maturities, barrier levels, and coupon structures that advisors can select from based on a client’s risk tolerance and view on bitcoin’s medium-term price trajectory.
