Royal Bank of Canada filed a Form 424B2 prospectus with the Securities and Exchange Commission on September 30, 2026 for a new issue of Barrier Digital Notes, a structured debt product whose return is tied entirely to the performance of Coinbase Global’s Class A common stock.

Under the notes’ terms, investors receive a fixed 25% return at maturity if Coinbase shares close at or above the barrier level, set at 50% of the stock’s initial value of $191.79 as of September 28, 2026, putting the barrier at $95.90. If shares close below that barrier, investors instead absorb the stock’s percentage decline directly, on a dollar-for-dollar basis, exposing principal fully below the barrier while capping any upside at the fixed 25% regardless of how far Coinbase shares might rise. The notes are offered at their full par value of 100%, require a $1,000 minimum investment, and mature on December 31, 2027, roughly fifteen months from issuance.

Structured notes of this kind, sometimes called autocallable or barrier notes depending on their exact mechanics, let banks package a single stock’s volatility into a fixed-return product for investors seeking defined outcomes rather than direct equity exposure. Coinbase’s stock, given its high volatility and status as a bellwether for the broader crypto industry, has become an increasingly common underlying asset for this type of structured product on Wall Street over the past year, as banks look to meet investor demand for crypto-adjacent exposure without issuing crypto-linked securities directly.

Because the payoff is entirely binary at the barrier, a 25% fixed return if Coinbase holds above half its starting value, and full downside exposure if it does not, the notes function less like a bet on Coinbase’s continued growth and more like a wager that the stock will not be cut in half over the note’s roughly fifteen-month term. Given Coinbase’s history of large price swings tied to crypto market cycles and regulatory news, that is a meaningfully uncertain proposition, and RBC’s own filing carries the standard warnings that the notes are unsecured obligations of the bank and unsuitable for investors seeking either principal protection or unlimited upside participation.

The filing is one of a growing number of bank-issued structured products referencing crypto-exchange equities rather than crypto assets themselves, a structure that lets issuers offer investors indirect, dollar-denominated exposure to crypto industry volatility while keeping the underlying security firmly inside conventional equity-derivatives regulation rather than digital-asset rules.
