Binance Invests $100 Million in Circle and Renews Five-Year Deal to Expand USDC in Emerging Markets

Circle and Binance deepened their partnership around USDC, with Binance investing $100 million in Circle and both companies renewing their commercial agreement for another five years, according to Circle’s announcement. Binance made the investment through a private placement of Circle’s Class A common stock, purchased at a 5% discount to Circle’s market price ahead of closing, with a lock-up period of up to two years from the closing date, subject to customary exceptions.

The renewed five-year commercial agreement centers on expanding USDC access specifically in emerging markets, where dollar-denominated stablecoins have become an increasingly important tool for individuals and businesses seeking access to dollar-based savings and payments without a traditional US bank account. Under the agreement, Binance will accelerate its promotion and integration of USDC across its exchange platform, while Circle continues to provide the underlying infrastructure that supports USDC’s issuance, holding, and day-to-day usage.

“Together, we see incredible opportunities to leverage USDC to expand dollar access, support savings and investment with innovative digital asset products, and reach people and businesses throughout global emerging markets,” said Jeremy Allaire, Circle’s co-founder, chairman, and chief executive. The framing places the deal’s emphasis squarely on emerging-market reach rather than on Binance’s existing developed-market user base, where USDC already has broad distribution.

Richard Teng, Binance’s co-chief executive, said “our $100 million investment and five-year commitment represent long-duration conviction,” adding that “a stable, trusted digital dollar should not be a privilege, it should be available to anyone with a phone.” That framing positions the renewed agreement as more than a routine commercial contract extension, tying Binance’s equity stake directly to its long-term commercial relationship with Circle rather than treating the two as separate transactions.

The deal builds on an existing commercial relationship between the two companies and comes as Circle, which trades on the New York Stock Exchange under the ticker CRCL, continues expanding USDC’s distribution through partnerships with major exchanges and payment platforms globally. For Binance, the equity stake gives the exchange a direct financial interest in Circle’s performance alongside its existing commercial incentives to promote USDC usage on its platform.
