Strategy Proposes Daily Dividend Accrual for Its Four Preferred Stock Classes

Strategy disclosed that its board approved a proposal to move four classes of preferred stock to daily dividend accrual, according to the company’s Form 8-K filing dated September 24, 2026 and filed with the SEC on September 25. The amendment would provide for a regular dividend record date on each calendar day, with the related dividend, if declared, payable on the next following business day, for STRF, STRC, STRK, and STRD preferred stock.

The four series carry different structures today: STRF pays a 10.00% rate as Series A Perpetual Strife preferred stock, STRC carries a variable rate as Series A Perpetual Stretch, STRK pays 8.00% as Series A Perpetual Strike, and STRD pays 10.00% as Series A Perpetual Stride. Under the current schedule, these series pay on monthly or other periodic cycles; the proposed amendment would shift all four to the same daily record-date structure without altering their underlying rates.

The filing is explicit that the change affects only payment frequency and the record-date mechanism, not the total dividend amounts, the stated rates, or Strategy’s overall payment obligations to preferred shareholders. In practical terms, a shareholder holding shares through a full accrual period would still receive the same total dividend, just distributed across daily record dates rather than accumulated and paid out less frequently.

The filing lays out a specific implementation timeline: if approved, STRC would move to the new schedule first, with its initial dividend payment under the daily structure landing on November 2, 2026, based on a November 1 record date. STRF, STRK, and STRD would follow with their first payments under the new schedule on January 4, 2027, tied to record dates of January 1 through 3, 2027.

Before any of this takes effect, Strategy shareholders must approve the amendments at a special meeting the company has scheduled as a virtual meeting for October 28, 2026, with a record date of September 25, 2026 determining who is eligible to vote. Because the proposal requires shareholder approval rather than taking effect automatically, the daily-accrual structure remains contingent on the October vote passing before any of the four preferred series moves to the new schedule. Strategy has increasingly relied on these four preferred stock classes alongside its common stock to fund its ongoing bitcoin purchases, so any structural change to how they pay dividends draws close attention from the holders who help finance that strategy.
